1. Agreement To Terms
By accessing strovadigital.com booking a discovery call or engaging Strova Digital for any services you acknowledge that you have read understood and agree to be bound by these Terms of Service. If you do not agree to these terms please do not use our website or services.
Strova Digital is a registered DBA of Strova LLC — a Massachusetts Limited Liability Company based in Dudley Massachusetts.
2. Services Provided
Strova Digital provides professional digital marketing services to local businesses and trades companies across New England including but not limited to:
Professional website design and development
Google Business Profile setup optimization and ongoing management
Local search engine optimization
Social media content creation and management
Review generation and reputation management
Lead follow up and marketing automation
Missed call text back automation
Monthly performance reporting and analytics
The specific services provided to each client are determined by the plan selected at time of signup and confirmed in writing via email or signed agreement.
3. Payment Terms and Billing Authorization
3.1 Monthly Subscription: All Strova Digital services are provided on a monthly recurring subscription basis. By signing up for any Strova Digital plan you authorize Strova Digital and its payment processor Stripe to charge your payment method on a recurring monthly basis until your subscription is cancelled in accordance with Section 5 of these Terms.
3.2 Billing Authorization: By providing your payment information and completing the checkout process you expressly authorize Strova Digital to:
Charge your credit card debit card or bank account for the monthly subscription amount
Automatically charge your payment method on the same date each month
Retry failed payments up to three times before pausing services
Store your payment information securely through Stripe for the purpose of recurring billing
This authorization remains in effect until you cancel your subscription in accordance with Section 5 of these Terms.
3.3 Current Pricing:
Launch Plan — $149.00 per month
Growth Plan — $249.00 per month
Elevate Plan — $399.00 per month
3.4 Payment Due Date: For subscription based clients payment is automatically processed on the same date each month corresponding to the original signup date. For invoice based clients payment is due within 5 days of the invoice date unless otherwise specified in a signed agreement.
3.5 Invoice Based Billing: Where Strova Digital and a client have agreed to invoice based billing invoices will be sent via Stripe to the email address provided at signup. Payment is due within the timeframe specified on the invoice. A 5 day grace period applies before services are paused for non payment.
3.6 Failed Payments: If a scheduled payment fails Strova Digital will:
Notify the client immediately via email
Retry the payment automatically up to 3 times
Pause services if payment is not received within 7 days of the original due date
Resume services immediately upon successful payment
Strova Digital reserves the right to charge the payment method on file at any time for outstanding balances owed under these Terms.
3.7 Outstanding Balances: Any outstanding balance not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the unpaid balance. Strova Digital reserves the right to suspend or terminate services for accounts with outstanding balances exceeding 30 days.
3.8 Price Changes: Strova Digital reserves the right to adjust pricing at any time with a minimum of 30 days written notice to active clients. Existing clients will be grandfathered at their current rate for the duration of their active subscription unless they cancel and resubscribe at a later date.
3.9 Taxes: Clients are responsible for any applicable taxes related to their purchase of Strova Digital services. Strova Digital will collect applicable taxes where required by law.
4. Refund Policy
All sales are final. Strova Digital does not offer refunds for monthly retainer payments that have already been processed. This applies to all plans and services.
If you believe a charge was made in error please contact [email protected] within 7 days of the charge with a description of the issue. We will review all disputes in good faith and respond within 5 business days.
Chargebacks filed with your financial institution without first contacting Strova Digital to resolve the dispute may result in immediate termination of services and may be contested by Strova Digital with full documentation of services rendered.
5. Cancellation Policy
5.1 Client Cancellation: Either party may cancel services with a minimum of 30 days written notice sent to [email protected]. Cancellation requests must be submitted in writing — verbal cancellations are not accepted.
5.2 Upon Cancellation:
Services will continue through the end of the current billing period
No partial refunds will be issued for unused days in the current billing period
All client owned assets including domain names social media accounts and website content will be returned to the client within 7 business days
Strova Digital will provide a written transition summary of all active accounts platforms and login credentials
5.3 Strova Digital Cancellation: Strova Digital reserves the right to terminate services immediately without notice for:
Non payment beyond the 30 day outstanding balance period
Violation of these Terms of Service
Abusive or threatening behavior toward Strova Digital staff
Any illegal or fraudulent activity
6. 90 Day Results Guarantee
Strova Digital stands behind our work with a 90 day results guarantee. If you do not see measurable improvement in your online presence within 90 days of your website going live we will continue working at no additional charge until measurable results are achieved.
Measurable results are defined as any one or more of the following:
Google Business Profile live verified and receiving impressions
Website indexed and appearing in Google search results
Measurable increase in local search visibility
At least one contact form submission received through the website
This guarantee applies only to clients who have:
Completed the onboarding questionnaire in full
Provided all requested assets and access within 14 days of signup
Maintained an active subscription in good standing throughout the 90 day period
7. Client Responsibilities
To receive the full benefit of Strova Digital services clients agree to:
Provide accurate complete and up to date business information
Complete the onboarding questionnaire within 14 days of signup
Respond to content approval requests within 48 hours
Provide necessary access to website social media accounts and Google Business Profile in a timely manner
Notify Strova Digital promptly of any changes to business information that may affect services
Maintain payment in good standing
Not engage in any activity that violates applicable laws or platform terms of service
Failure to fulfill client responsibilities may affect the quality and timeliness of service delivery and may void the 90 day results guarantee.
8. Intellectual Property and Ownership
8.1 Client Owned Assets: All website content domain names social media accounts business information and content provided by the client remain the sole and exclusive property of the client. Strova Digital does not claim ownership of any client assets at any time.
8.2 Strova Digital Assets: All proprietary systems workflows templates processes methodologies and agency tools developed by Strova Digital remain the exclusive intellectual property of Strova Digital and Strova LLC. Clients may not reproduce distribute or share Strova Digital's proprietary systems without express written permission.
8.3 Portfolio and Marketing Rights: Strova Digital reserves the right to display completed client work in its portfolio website social media and marketing materials as proof of work and capability unless the client requests otherwise in writing within 30 days of project completion.
9. Content Approval and Publishing
For social media management clients all content including captions graphics and scheduled posts is submitted to the client for review and approval a minimum of 48 hours before the scheduled publication date.
Strova Digital will not publish any content without explicit written approval from an authorized client representative. Approval may be given via email text message or through the client dashboard.
If a client does not respond to a content approval request within 48 hours Strova Digital will follow up once. If no response is received within 72 hours the content may be rescheduled to the following posting slot to maintain content quality and accuracy.
10. Results Disclaimer
While Strova Digital is committed to delivering exceptional results we cannot guarantee specific outcomes. Results vary based on factors including but not limited to:
Industry competition and market conditions
Geographic location and local search environment
Client responsiveness and cooperation
Platform algorithm changes by Google Meta and other third parties
Timing and consistency of service delivery
Strova Digital does not guarantee:
A specific search engine ranking position
A specific number of leads inquiries or new clients
A specific number of social media followers or engagement metrics
A specific return on investment or revenue increase
11. Limitation of Liability
To the maximum extent permitted by applicable law Strova Digital and Strova LLC and their members employees contractors and agents shall not be liable for any indirect incidental special consequential punitive or exemplary damages arising from or related to your use of our services regardless of whether such damages were foreseeable.
Strova Digital's total cumulative liability for any claims arising under these Terms shall not exceed the total amount paid by the client to Strova Digital in the three months immediately preceding the claim.
12. Indemnification
You agree to indemnify defend and hold harmless Strova Digital and Strova LLC and their members employees contractors and agents from and against any and all claims damages losses liabilities costs and expenses including reasonable attorneys fees arising from or related to:
Your use of Strova Digital services
Your violation of these Terms of Service
Your violation of any applicable law or regulation
Any content or information you provide to Strova Digital
13. Third Party Platforms and Services
Strova Digital utilizes third party platforms and tools to deliver services including but not limited to GoHighLevel Google Stripe Canva Meta Facebook Instagram and others. Strova Digital is not responsible for the availability reliability terms policies or actions of these third party providers. Any changes to third party platforms that affect service delivery will be communicated to clients as soon as reasonably possible.
14. Confidentiality
Both Strova Digital and the client agree to maintain strict confidentiality of all proprietary and sensitive business information shared during the course of the service relationship. This includes but is not limited to:
Login credentials and account access information
Business strategies and marketing plans
Pricing and financial information
Client lists and prospect data
Proprietary systems and processes
This confidentiality obligation survives termination of the service relationship.
15. Dispute Resolution
15.1 Good Faith Negotiation: In the event of any dispute arising from these Terms both parties agree to first attempt resolution through good faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party.
15.2 Binding Arbitration: If good faith negotiation fails to resolve the dispute within 30 days both parties agree that the dispute shall be resolved through binding arbitration in Worcester County Massachusetts under the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding on both parties.
15.3 Waiver of Class Action: Both parties waive any right to participate in class action lawsuits or class wide arbitration related to these Terms or Strova Digital services.
16. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of Worcester County Massachusetts.
17. Entire Agreement
These Terms of Service together with any signed Letter of Agreement or service proposal constitute the entire agreement between you and Strova Digital regarding our services and supersede all prior agreements understandings and representations whether written or oral.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
19. Changes To These Terms
Strova Digital reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Active clients will be notified of any material changes via email at least 14 days before changes take effect. Continued use of our services after changes take effect constitutes your acceptance of the updated Terms.
